License terms

Exclusive or non-exclusive: the term your acquirer reads first

Of all the terms in a data license, exclusivity matters most when you plan to sell. It decides whether the company's next owner can use or license those records again.

Buyers handle it very differently, so read it before you sign either deal.

The range of exclusivity terms

  • Exclusive by default

    What it means for you

One buyer only, often at a higher price

What it means for an acquirer

The records cannot be licensed again during the term

  • Time-limited exclusive

    What it means for you

Exclusive for a set period, then open

What it means for an acquirer

Check how much of the term remains at closing

  • Non-exclusive

    What it means for you

You can license the same data elsewhere

What it means for an acquirer

The new owner keeps that freedom

  • Outright buyout

    What it means for you

You sell the records, not a copy

What it means for an acquirer

The data may no longer be the company's to use

Unless you negotiate otherwise, a Polyshares license is exclusive. Troveo has written up the pros and cons of each option, and one buyer says it will pay more for exclusive rights.

02

License, buyout and ownership

At the far end of exclusivity is selling the records outright. A few buyers offer either route. Others leave ownership with you and let you vet samples first. Be sure which deal is in front of you.

03

Why the acquirer reads this term first

If the buyer of your company plans to train its own AI on your records, or to license them out, any existing exclusive deal will be a sticking point. Frankfurt Kurnit Klein & Selz expects earlier data deals to surface in diligence. Foley & Lardner says AI deals now treat training-data rights as a separate diligence topic.

Questions to put to any data buyer

  • Is this a license of a copy, or a sale of the records outright?
  • Is it exclusive, and for how long? Can I license the same data elsewhere later?
  • Which systems and date ranges are in scope, and can I leave folders or whole tools out?
  • Who removes names and personal details, how, and do I approve a sample before anything leaves?
  • When does payment arrive, and does the clock start at signing or at your acceptance of the delivery?
  • Do I pay anything, and does anyone in the chain take a cut?
  • How long do you keep the copy, and what happens to it if you are acquired?

FAQ

Questions, answered

Are AI data licenses usually exclusive?

No single answer. Some buyers default to exclusive, others never ask for it. Have the precise clause written down.

Does exclusivity pay more?

Some buyers say so. If you accept exclusivity, make sure the price reflects it.

Can the same data be licensed twice?

Only under a non-exclusive license, or after an exclusive term ends.

How does a buyout differ from exclusivity?

A buyout hands over the records themselves. Exclusivity only stops others using a copy, for an agreed time.

Would exclusivity block my acquirer from using the records?

It may stop them licensing the data to third parties. Internal use turns on the contract wording, which your lawyer should check.
