Chapter 7 trustees: treating the server archive as estate property

You are trustee in a Chapter 7 asset case, and nothing on the schedules mentions the debtor's mail server, Slack or shared drives.

In an asset case, the trustee's job is to turn non-exempt assets into money for unsecured creditors. The archive may be one of them.

01

Whether anything can be sold is settled early

Chapter 7 liquidates the company, though a court may allow the trustee to keep the business going for a short period. An archive needs much less: someone paying for the accounts holding the data. When Slack, Google Workspace or GitHub bills go unpaid, the data is deleted.

Creditors meet 21 to 40 days after filing. Use that meeting to find out where the email, chat, code and documents are stored, who has admin access and when each plan renews.

02

What to ask the debtor's principals

  • Which email, chat, file and ticket systems did the company use, and since when?
  • Who has admin access, and can it be transferred to the trustee?
  • When does each subscription renew or lapse?
  • What was peak headcount?
  • Are there vendor contracts, NDAs or union agreements that limit use of the data?

03

Who buys from Chapter 7 estates

Buyers that take closed companies include Pewter (US, 20+ staff, 3+ years, any status), micro1 (closed US companies with 25+ at peak), Mercor and broker License My Data (50+ at peak). Liquidators such as Hilco now list data as a line. See AI data buyers for distressed companies.

A trustee usually files a no-asset report when everything is exempt or encumbered. The trustee and counsel decide whether an archive alters that. Until someone samples it, its value is unknown.

FAQ

Questions, answered

Is the debtor's email archive part of the estate?

Generally the company's records are its property, subject to contracts, privacy law and third-party rights. Counsel should confirm for your case.

How do I stop the data being deleted?

Keep the subscriptions paid and get admin access early. Lapsed workspaces are often deleted.

Does a sale need court approval?

Sales of estate property outside the ordinary course generally need notice and court approval. Ask your counsel.
